PURPOSE AND SCOPE OF APPLICATION<\/h4><p>These General Terms and Conditions of Sale (hereinafter the \u201cTerms and Conditions\u201d) constitute the contractual framework applicable to any sale of goods entered into between the Seller and a consumer client, as defined under the Consumer Protection Act (\u201cCPA\u201d), who makes a purchase for strictly personal purposes on the website operated by the Seller.<br \/>These Terms and Conditions apply in their entirety to any order, regardless of the nature of the goods, where the contract of sale is formed within the territory of Qu\u00e9bec. No clause or condition originating from the Customer may prevail over or amend these Terms and Conditions, unless expressly agreed to in writing in advance by the Seller. Acceptance of these Terms and Conditions is an essential prerequisite to the conclusion of the sale and constitutes a condition of validity of the contract.<\/p><h4>Article II. ACCEPTANCE OF THE TERMS AND CONDITIONS<\/h4><p>The Customer acknowledges that placing an electronic order constitutes full, free, and informed acceptance of these Terms and Conditions, which are made permanently available and accessible on the Seller\u2019s website.<br \/>Acceptance of these Terms and Conditions is deemed to be given expressly when the Customer demonstrates clear and positive intent, notably by checking the box provided for this purpose during the ordering process, or by any other equivalent electronic means of consent.<\/p><h4>Article III. PRE-CONTRACTUAL INFORMATION<\/h4><p>The Customer acknowledges that it is their responsibility to review all relevant information before completing their purchase. No omission, inaccuracy, or incomplete presentation may be invoked against the Seller if the Seller can demonstrate that the relevant information was reasonably accessible, visible, and available to the Customer at or before the time of sale.<\/p><h4>Article IV. ORDER AND FORMATION OF THE CONTRACT<\/h4><p>The contract of sale shall be deemed complete, binding and irrevocable as soon as the Customer receives an electronic acknowledgment confirming that their order has been accepted by the Seller. This confirmation constitutes contractual acceptance and binds both parties under the terms set forth herein. An order may be unilaterally cancelled by the Customer only on the express condition that it has not yet been transmitted to the logistics department or marked as \u201cin process.\u201d Beyond that stage, any product return is subject to the specific conditions provided in Article VIII hereof.<br \/>The Seller reserves the right, at its sole discretion, to refuse or cancel any order if it believes that an irregularity, manifest error, or fraudulent intent has occurred. This right may notably be exercised in the event of a significant anomaly affecting the information displayed on the website, an unexplained or erroneous price, a technical malfunction, or a failure in the order-processing system. The Seller is under no obligation to honour any order based on data that proves to be inaccurate or inconsistent with the product\u2019s actual value.<br \/>Furthermore, any order placed by a Customer whose contact information is incomplete, inconsistent, or inaccurate, or who uses a payment method that is declined, compromised, or unauthorized, may be automatically cancelled without notice. The same applies to any order placed in a context suggesting abusive, unfair, fraudulent, or automated use of the website, including but not limited to multiple cascading purchases, attempts to circumvent quantity limitations, or behaviour akin to misuse of the platform.<br \/>In the event of an order being refused or cancelled, no compensation, damages, or indemnity of any kind may be claimed from the Seller. The Seller retains full control over its order-processing system and may suspend, filter, or revoke any order at any time when it considers that the integrity of its operations is at risk.<\/p><h4>Article V. PAYMENT TERMS AND SELLER\u2019S WARRANTIES<\/h4><p>All orders must be paid in full at the time of confirmation. The Seller accepts only the payment methods expressly authorized on its website, including bank credit cards. In the absence of full payment, the order will not be validated or shipped. In the event of a refusal or failure of payment by the Customer\u2019s financial institution, the Seller shall be entitled to automatically suspend performance of the contract and cancel the order. All payments are subject to the approval of the relevant financial institutions. The Seller shall in no event be held liable if the Customer\u2019s financial institution refuses to accept or honour any payment method for any reason whatsoever.<br \/>The Customer agrees to pay the purchase price of the items as well as any additional charges not included in the purchase price, which may include applicable taxes, shipping, handling, and delivery fees.<\/p><h4>Article VI. PRICE MODIFICATION<\/h4><p>Prices are subject to change without prior notice. All prices are payable in Canadian dollars and exclude applicable taxes (GST and QST).<\/p><h4>Article VII. DELIVERY AND TRANSFER OF RISK<\/h4><p>Delivery of goods is made exclusively within the province of Qu\u00e9bec, to the address designated by the Customer when placing the order. Items in stock will be shipped within 24 hours following the order. Items not in stock will be shipped as soon as they are received from our suppliers. Special-order items may incur cancellation fees once an order has been placed and may also be subject to a restricted return policy. Non-stock products are considered special-order items and may be subject to minimum order quantities, special handling fees, and\/or other conditions stipulated by our supplier.<br \/>The delivery times communicated are strictly indicative and shall not constitute an obligation of result on the part of the Seller. Except in the case of gross negligence on its part, the Seller shall not be held liable for any delay or failure in delivery attributable to a third party or to an external event. The transfer of risk relating to the products occurs upon their handover to the carrier designated by the Seller. From that point forward, all risks of loss, theft, or deterioration are entirely assumed by the Customer, even in cases of free delivery or where the delivery charges are borne by the Seller.<\/p><h4>Article VIII. RETURNS AND NON-CONFORMING GOODS<\/h4><p>No merchandise may be returned without the prior, express, and written authorization of the Seller. Any return request must be made in writing and must specify precisely the product references, the quantities concerned, the delivery date, and the reasons invoked.<br \/>In the event that the Seller grants an exceptional authorization, the goods must be returned within a maximum of five (5) business days following such authorization, in perfect condition, unused, undamaged, in their original intact packaging, and accompanied by all accessories, manuals, and original documentation.<br \/>Returned goods will be inspected by the Seller, who reserves the right to refuse the return or to apply a restocking fee of up to twenty percent (20%) of the original price in the event of non-compliance with the above-mentioned conditions.<br \/>All return costs, including transportation, insurance, handling, and packaging fees, are borne exclusively by the Customer.<br \/>No credit, refund, or replacement will be issued until a complete and written verification of the conformity of the returned products has been carried out. Failure to fully comply with this clause shall render any return null and void, and the merchandise shall remain the property of the Customer, at their own risk.<\/p><h4>Article IX. STATUTORY WARRANTIES AND CONTRACTUAL LIMITATIONS<\/h4><p>The Seller acts solely as a distributor of products manufactured by other companies (the \u201cManufacturer\u201d). Accordingly, the Seller expressly limits its liability to any warranty granted by the Manufacturer.<br \/>In the event of a proven non-conformity or a substantial defect in the product, the Customer may obtain, at the discretion of the Seller and the Manufacturer, either the repair or the replacement of the product. However, no additional, implicit, or explicit warranty is granted. The Seller expressly excludes any liability for damages resulting from misuse, abuse, negligence, or unauthorized modification of the product. Any warranty is also excluded when the product has been repaired by a third party without the Seller\u2019s prior authorization.<br \/>The Seller believes that the technical information, specifications, test results, and product recommendations described on its website are accurate, but does not guarantee their accuracy or completeness.<\/p><h4>Article X. ERRORS AND OMISSIONS: CHANGES TO WEBSITE CONTENT, OFFERS, OR ORDERS<\/h4><p>The Seller makes every effort to ensure that the information provided on its website is current and accurate. However, due to changing market conditions and competition, printing errors, omissions, or other inaccuracies may occasionally occur, including incorrect prices or product specifications. The Seller does not guarantee that the items advertised on the website will be available at the time they are viewed. Moreover, the Seller does not guarantee that the website content\u2014including, but not limited to, product descriptions, technical information, specifications or their completeness, prices, and photographs\u2014is accurate or complete.<\/p><h4>Article XI. LIABILITY<\/h4><p>The Seller\u2019s liability is strictly limited to the repair or replacement of the defective product, in accordance with the provisions set out in these Terms and Conditions. Under no circumstances shall the Seller be held liable for any indirect, incidental, or consequential losses, including, without limitation, loss of profits, loss of use, or business interruption, whether or not arising from a defect covered by this warranty. The Seller\u2019s liability, regardless of its nature, shall at all times be limited to the value of the product purchased by the Customer.<\/p><h4>Article XII. PROTECTION OF PERSONAL INFORMATION<\/h4><p>To the extent that the performance of this contract involves the collection, use, disclosure, retention, or destruction of personal information within the meaning of the Act Respecting the Protection of Personal Information in the Private Sector (CQLR, c. P-39.1), the Seller undertakes to comply with the obligations set out in the Act, notably with respect to obtaining valid consent, implementing reasonable security measures to protect such information against loss, theft, or unauthorized access, and reporting any confidentiality incident within the meaning of the Act.<br \/>The Seller manages personal information in accordance with its Privacy Policy, which is available at the following address: [hyperlink to the Seller\u2019s Privacy Policy].<\/p><h4>Article XIII. FORCE MAJEURE<\/h4><p>Neither party shall be held liable for any failure to perform any of its contractual obligations if such failure results from an event of force majeure, as defined in article 1470 of the Civil Code of Qu\u00e9bec.<br \/>However, it is expressly agreed that the Customer\u2019s obligation to pay the price of goods and services delivered or ordered shall remain in full force and effect notwithstanding the occurrence of a force majeure event affecting its operations, as this obligation is deemed a monetary obligation whose performance is not materially prevented by such an event. Consequently, no force majeure event, even if established, may justify any delay or failure to pay the agreed price.<\/p><h4>Article XIV. GOVERNING LAW AND DISPUTE RESOLUTION<\/h4><p>This Agreement shall be governed by and construed in accordance with the laws in force in the Province of Qu\u00e9bec. Any dispute relating to the interpretation, performance, or validity of these Terms and Conditions shall fall under the exclusive jurisdiction of the competent courts of the judicial district of Montr\u00e9al, Province of Qu\u00e9bec, to the exclusion of any other jurisdiction.<\/p><h4>Article XV. SEVERABILITY<\/h4><p>Any provision of these Terms and Conditions that is declared invalid, null, or unenforceable for any reason whatsoever shall be deemed severable from the Terms and Conditions and shall not affect the validity or enforceability of the remaining provisions.<\/p><h4>Article XVI. AMENDMENTS TO THE TERMS AND CONDITIONS<\/h4><p>The Seller reserves the right to unilaterally amend these Terms and Conditions at any time, without prior formalities.
